Furthermore, we reserve the right to conduct enhanced due diligence on all clients given worldwide approved risk-based policies. Please note that Rutheneum reserves the right to refuse a transaction or deny operation on a client or account at any time should suspicion arise that it may be connected to money laundering, criminal activity or any other predicate offence to money laundering. Rutheneum will not enter into any business arrangement with anyone or group suspected of or directly involved in money laundering, or where funds have been sources or ends of an illegal activity.

TERMS USED IN THE AGREEMENT:

For the purpose of this agreement, the following terms used and defined below as:

System:

Platform «Rutheneum» served by the company Rutheneum. Great USA, - services in a global Internet computer network (hereinafter referred to as the Internet), at the address https://rutheneum.com/, intended for the use of services provided by the community.

User:

Individual or legal entity that is registered in the system.

Account:

Crypto (RTH) wallet, account in the System, registered on the User’s name.

Authentication:

Recognition procedure, which allows the Community to verify that the connection, was made by User by means of electronic identification data.

1. GENERAL

The following Terms and Conditions (“Terms”) govern the sale of the cryptographic ICO Rutheneum (“RTH”).

Rutheneum is an ICO or crypto currency coin used within the Rutheneum Block chain.

ICO sale campaign – is an Rutheneum sale campaign, designed to introduce RTH publicly and provide possibility to purchase tokens first with attractive discounts and earn other benefits during limited time. Parties may be interested in purchasing RTH at the ICO sale campaign to participate in early ALPHA and BETA testing stages or to participate in trading the ICO once it becomes listed on the various crypto currency exchanges.

2. WHAT IS RUTHENEUM?

Rutheneum runs on a block chain technology, A purely peer-to-peer version of electronic cash would allow online payments to be sent directly from one party to another without going through a Financial institution. 3. OVERVIEW OF ICO SALE CAMPAIGN

Rutheneum Community. Requires, for proper operation, and comprehensive utilization, an authentication ICO called (“RTH”). The Community will produce and market a quantity of RTH in a pre-sale event called the “ICO Sale Campaign”, to be hosted on web site at https://rutheneum.com (“ICO Sale Website”). Purchasers in the ICO Sale Campaign will acquire RTH in exchange for BTC, ETH and other fiat currencies at predefined sale prices over a period of thirty One (31) days. Purchasers of ICO sale in the ICO sale campaign will be awarded cryptographic ICO (Rutheneum Coins) that will become available in their wallet via the Rutheneum App or website once the ICO sale is complete.

4. CREATION AND ISSUING OF RTH ("RUTHENEUM")

Rutheneum initially will be created and issued upon completion of ICO sale campaign based on 6 billion of the maximum RTH ICO

NO ADDITIONAL ICO RTH WILL BE ISSUED AFTER COMPLETION OF ICO SALE CAMPAIGN UNTIL UTILIZATION OF ALL INITIALLY ISSUED ICO EXCEPT WHERE EXPLICITLY STATED.

5. TIMING OF SALE

The ICO Sale Campaign will begin at 12.00 GMT on 01/12/2020 (12:00 Central Time on 1st December 2017)

The ICO Sale Campaign will run for Thirty One (31) days and will end at 23:59:59 Central Time on 31 December 2020

The Community reserves the right to change the date when the ICO Sale Campaign will begin and further reserves the right to extend the sale duration for any reason, including the unavailability of the website https://rutheneum.com due technical issues or other unforeseen security or procedural issues. Though it does not currently anticipate doing so, The Community also reserves the right to shorten the sale duration for any reason.

6. PUBLIC DISCLOSURE OF ADVANCED RTH PURCHASES

To enable RTH Purchasers to have as much information as possible to guide their decision making process, the Community will make all purchases publicly visible on the ICO sale campaign website at https://rutheneum.com

7. PURCHASE OF RUTHENEUM ON THE ICO SALE WEB ACCOUNT

The Community will maintain a store interface, which can be used to purchase RTH. The store interface will be available through the ICO Sale Web Account at https://rutheneum.com Instructions for purchasing RTH with BTC, ETH or fiat currencies will be embedded and available for review on the ICO Sale Web Account during the whole duration of the ICO Sale Campaign.

Failure to follow these instructions may limit, delay, or prevent a Purchaser from obtaining RTH. Any questions about these instructions should be directed to [email protected]

8. OBLIGATION TO DETERMINE IF PURCHASER CAN PURCHASE RUTHENEUM IN HIS/HER JURISDICTION

The ICO sale campaign constitutes the sale of a legal software product under English law. This product sale is conducted by a rutheneum community, operating under English law. It is the responsibility of each potential Purchaser of RTH to determine if the Purchaser can legally purchase RTH in the Purchaser’s jurisdiction.

9. ACCEPTANCE OF TERMS AND CONDITIONS OF THE RUTHENEUM SALE

As a first step in the purchase process, the Community will present the Purchaser with these Terms and Conditions, and associated documents, along with a checkbox. By clicking the checkbox, the Purchaser: (a) consents and agrees to the Terms and Conditions; (b) represents and warrants that the Purchaser is legally permitted to purchase RTH in the Purchaser’s jurisdiction and is legally permitted to receive products of English origin; (c) represents and warrants that the Purchaser is of a sufficient age to legally purchase RTH or has received permission from a legal guardian who has reviewed and agreed to these Terms; (d) represents and warrants that the Purchaser will take sole responsibility for any restrictions and risks associated with the purchase of RTH

10. RUTHENEUM WILL ONLY BE AVAILABLE FOR ICO SALE CAMPAIGN WEBSITE

The Community will only sell RTH through the ICO Sale Campaign website, available at https://rutheneum.com Any third-party website or service offering RTH for sale during the ICO Sale Campaign or facilitating the sale or transfer of RTH in any way during the ICO Sale Campaign are not sanctioned by the Community or its parents and affiliates and have no relationship in any way with the Community. As a result, the Community prohibits the use of these third-party websites or services for the purchase of RTH prior to the end of the ICO Sale Campaign Purchasers should take great care that the site used to purchase RTH has the following universal resource locator (“URL”): https://rutheneum.com Please ensure that the URL of your web browser indicates that it is using a hypertext transport protocol secure connection (“https”) as depicted in the image above and that the domain name is correct. By purchasing RTH, and to the extent permitted by applicable law, the Purchaser agrees not hold any of the Community Parties liable for losses incurred by any person, entity, corporation, or group individuals or groups who uses a third-party service to purchase RTH the only official and authorized RTH sale website URL is https://rutheneum.com

11. ALL PURCHASES OF RTH ARE NON-REFUNDABLE

All purchases of RTH are final. Purchases of RTH are non-refundable. By purchasing RTH, the purchaser acknowledges that neither the community nor any other of the community parties are required to provide a refund for any reason, and that the purchaser will not receive money or other compensation for any RTH that is not used or remains unused.

Privacy Policy:

Rutheneum Privacy Policy is our guarantee to keep your personal information confidential. We will only use your information in accordance with the terms of this Privacy Policy. We will not sell or rent a list of our customers, including personal information to third parties. Only your name, email address and verification status are displayed to other Rutheneum community with whom you will be transferring funds to. If you are a Business account holder, we will also display your website address to other Rutheneum members. In cases of slander, defamation or fraud, Rutheneum may at its own discretion disclose general account information to affected parties. Your transactions, by accepting the Privacy Policy and User Agreement in registration, you expressly consent to our use and disclosure of your personal information in the manner described in this Privacy Policy.

Severability:

Assignment:

Neither of us shall assign, subcontract or otherwise dispose of any or all of our rights and obligations under this Agreement without the prior written consent of the other.

Entire agreement:

These terms and conditions, together with our privacy policy and disclaimer, constitute the entire agreement between you and Rutheneum in relation to your use of this website and services, and supersede all previous agreements in respect of your use of this website and our services.

We each acknowledge that, in entering into these terms, we do not rely on, and shall have no remedies in respect of, any statement, promises, assurances, warranties, representations or understandings (whether oral or written, and whether made innocently or negligently) made by or on behalf of the other that are not set out in these terms.

We each agree that we shall have no claim for innocent or negligent misrepresentation based on any statement in these terms, save that nothing in these terms shall limit or exclude any liability for fraud.

Rutheneum Community (“Rutheneum,” “we” or “us”) makes RTH ICO available for purchase through our website and mobile applications. Your purchase of any Rutheneum (RTH) ICO is governed by these Terms of Sale (“Terms”). These Terms will cease to apply at the time of such purchase. These Terms are a legal agreement between you (“you,” or “your”) and Rutheneum. Digital currency risk warning:

Rutheneum community warns that buying and holding digital currencies such as Rutheneum carries several significant risks including but not limited to the following:

  1. Risk that your digital currency will lose much or all of its value. Digital currencies are still a new developing area, both technologically and financially, and thus their value can move extremely quickly within a very short time. Rutheneum community advises that you only store amounts in digital currency that you can afford to lose.
  2. Risk that your digital currency wallet can be compromised by persons or organizations that can steal your funds. Depending on your wallet provider of choice, there may be no recourse or possibility of insuring your digital currency funds.

Encryption of data traffic:

The data that is communicated back and forth between Rutheneum and your computer is encrypted with a 256-bit SSL certificate. This means no one can intercept the data stream between Rutheneum community and your device.

Operating:

While we aim for 100% server up-time, we realize this isn't always possible. We are constantly working on improvements and performing upgrades which may result in server outages. When you create an account on Rutheneum, you agree to the status of the service at that time. And reserves the right to perform maintenance or changes to the service at any time it sees fit. This may result in periods during which the service may be temporarily unavailable. Rutheneum will, to the extent that it is possible, announce such interruptions in advance. However, it is not required to do so and is not responsible for any damages or losses resulting from server outages.

Taxes:

It is your responsibility to determine, collect, report and submit any taxes applicable to the payments you make or receive in connection with the use of Rutheneum App and Services to the appropriate tax authority. Rutheneum community is not responsible for determining whether taxes apply to your transaction, or for collecting, reporting or remitting any taxes arising from any transaction.

Limitation of responsibility:

Rutheneum and partners, providers are not liable for direct or indirect damages, loss of profit or income, or any other damage towards the user or a third party that might stem from incorrect, inconsistent, or missing information on the website. This includes downtime that might happen to Rutheneum or corrupted data that may appear on the website due to technical reasons. Rutheneum is not liable for the correctness for any information given to the community by third parties.

Sophisticated Investing:

You acknowledge and agree that by using Rutheneum and entering Orders, you have sufficient knowledge to make such Orders. You are responsible for making sure that any Orders entered on your Rutheneum Account are accurate and intentional.
